Case Study
The client is a high-income entrepreneur in a no-income-tax state who controls five operating companies plus real estate. Projected personal income was approximately $4 million, with combined business net profit in the $7 million to $8 million range, placing the client in the top federal marginal bracket with a projected federal liability well into seven figures. The enterprise had grown organically, without a coordinated tax structure. Income was flowing through a patchwork of entity types, including one high-margin practice still operating as a Schedule C sole proprietorship and fully exposed to self-employment tax. With income concentrated at the highest bracket and no state tax to plan around, every planning dollar had to work on the federal side, and nothing was coordinated across the five businesses.
RainwaterCPA reviewed the client’s entities, income sources, and near-term plans, then modeled a coordinated set of strategies sized to the top marginal bracket. Rather than a single tactic, the plan layered entity optimization, retirement plan design, real estate depreciation, energy incentives, and the qualified business income deduction into one integrated structure. Electing S corporation status for the $400,000 sole proprietorship split the profit into a reasonable salary and a distribution, removing the distribution from Medicare and Additional Medicare tax. A short-term rental with cost segregation reclassified roughly $375,000 of a $1.5 million building basis into short-life property expensed in year one. A combined 401(k) and cash balance plan supported roughly $300,000 in deductible contributions annually. Oil and gas intangible drilling costs and the Augusta Rule rounded out the core plan, with a business aircraft acquisition available as an optional additional lever.
The coordinated plan projected roughly $467,600 in annual federal tax savings on a conservative basis, scaling to more than $1.5 million with full qualified business income optimization and the optional aircraft acquisition. Individual strategies ranged from $16,750 for entity optimization to $153,000 for the short-term rental cost segregation and $148,000 for oil and gas intangible drilling costs. For an owner of multiple businesses at this income level, the largest gains came from coordination across the whole enterprise rather than any single strategy, turning an uncoordinated group of profitable companies into one integrated plan.
